1. Agreement

These Terms of Service ("Terms") form a legal agreement between you ("you", "Customer") and Maven Advertising SRL, a Romanian limited liability company operating the ReviewMix service ("ReviewMix", "we", "us"). By creating an account, accessing, or using ReviewMix, you accept these Terms. If you do not accept them, do not use the service.

If you use ReviewMix on behalf of an organization, you confirm that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. The service

ReviewMix is a software-as-a-service platform that allows you to:

• Create collection links through which your customers can submit testimonials
• Review and approve testimonials before publication
• Embed approved testimonials on your website via a JavaScript widget or server-rendered HTML snippet
• Manage consent records for each testimonial submitter

3. Account

To use ReviewMix you must create an account. You agree to:

• Provide accurate information and keep it current
• Keep your authentication credentials (magic-link emails) confidential
• Not share your account with others
• Notify us promptly if you suspect unauthorized access: security@reviewmix.eu

You must be at least 18 years old to create an account, or have the legal capacity to contract under the law of your country of residence.

4. Acceptable use

You agree not to use ReviewMix to:

• Collect, approve, or publish content that is unlawful, defamatory, harassing, hateful, infringing, or invasive of another's privacy
• Collect testimonials through deception (for example, by falsely representing the product or service being reviewed)
• Fabricate testimonials or publish testimonials you know to be false
• Collect testimonials without the submitter's informed consent
• Attempt to access, scrape, or interfere with parts of the service not made available to your account
• Circumvent plan limits (such as by creating multiple accounts to stay on the free tier)
• Use the service to process special categories of data (as defined in GDPR Art. 9) without a specific legal basis that you document
• Use the service in a way that violates applicable law, including GDPR, Romanian law, or the law of your customers' jurisdictions

5. Your content

"Your Content" means testimonials, photos, widget configurations, and any other material submitted to ReviewMix by you or through collection links you control.

• You retain all ownership rights in Your Content.
• You grant ReviewMix a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and transmit Your Content solely to the extent necessary to provide the service.
• You represent that you have all rights necessary to grant this licence and that Your Content does not infringe any third-party rights.

We do not claim ownership of Your Content and do not use it for our own marketing without your separate written permission.

6. Testimonial submitters

When a person submits a testimonial via your collection link, you become the primary party responsible for that submission vis-à-vis the submitter. ReviewMix acts as your data processor under Art. 28 GDPR for that data. See our Data Processing Addendum for details.

You agree that:

• You will only collect testimonials you have invited or otherwise have a legitimate basis to collect
• You will be transparent with submitters about how their testimonial will be used
• You will honour consent withdrawals and respect ReviewMix's consent mechanics
• You will not alter a submitted testimonial in a way that misrepresents what the submitter said
• You will not display a testimonial for uses the submitter has not consented to
• For testimonials you add manually (a quote captured outside a ReviewMix collection link), you warrant that you have the person's permission to display their words and name; ReviewMix records your attestation, and no submitter self-service link is issued for a manually added person

7. Subscription, fees, and billing

7.1 Plans

ReviewMix offers a free tier and paid tiers ("Pro" and "Agency"). Current features, limits, and prices are shown when you choose a plan in your account.

7.2 Fees

Paid subscriptions are charged in advance on a monthly or annual basis. Fees are displayed in EUR, exclusive of VAT unless otherwise stated. VAT is applied at checkout based on your billing location.

7.3 Auto-renewal

Paid subscriptions renew automatically at the end of each billing period for the same term unless cancelled before renewal. You can cancel at any time from your account's Stripe Customer Portal.

7.4 Price changes

We may change fees. For existing paid customers, price changes apply at the next renewal and will be notified by email at least 30 days in advance. You may cancel before the change takes effect to avoid the new price.

7.5 Taxes

Fees are exclusive of taxes except where stated. You are responsible for taxes applicable to you other than taxes based on ReviewMix's net income.

7.6 Refunds

We offer a 30-day money-back guarantee. If you cancel within 30 days of first paying, we refund the full amount on request, no questions. After 30 days, refunds are at our discretion and handled case-by-case via support@reviewmix.eu.

7.7 Failed payments

If a payment fails we will retry and notify you. If payment remains unpaid after 14 days, we may downgrade your account to the free tier. Your data is preserved in this case; re-upgrade restores full functionality.

8. Consumer rights (EU/Romania)

If you are a consumer (natural person acting outside your trade, business, or profession) in the EU:

• You have a right of withdrawal from this contract within 14 days from the day of account creation, without giving any reason (EU Consumer Rights Directive 2011/83/EU; Romanian OUG 34/2014)
• Separately and in addition, our 30-day money-back guarantee (§7.6) gives you a more generous contractual refund window; it supplements, and does not replace, your statutory 14-day right
• To exercise the statutory withdrawal right, email privacy@reviewmix.eu with a clear statement of your decision to withdraw
• If you exercise this right, we refund all payments received without undue delay and within 14 days
• By starting to use the service within the withdrawal period, you give your prior express consent to immediate performance and acknowledge that the right of withdrawal is lost once the service has been fully provided (CRD Art. 16(a) / OUG 34/2014); this consent and acknowledgement are captured at checkout

Your rights under applicable consumer protection law are not affected by these Terms.

9. Free tier

The free tier is offered "as is" without warranty. We reserve the right to:

• Change free-tier limits with reasonable notice
• Discontinue the free tier with 90 days' notice
• Close free-tier accounts that show no activity for 12 months (after notification)

10. Availability and maintenance

We aim for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance and will notify active paying customers in advance where feasible, and will, where feasible, inform affected customers of significant unplanned outages by email.

11. Security and data protection

We implement reasonable administrative, technical, and physical safeguards to protect your data. Our practices are described in our Privacy Policy and, for testimonial submitter data processed on your behalf, in our Data Processing Addendum.

12. Your responsibilities on your own website

ReviewMix is an embeddable tool. Your website's compliance with applicable law (including cookie consent, your own privacy policy, accessibility, and accurate disclosures) is your responsibility. We provide features to help (CMP integration, cookieless modes, consent capture) but we cannot guarantee your site's overall compliance.

13. Suspension and termination

13.1 By you

You can cancel your paid subscription at any time. Cancellation takes effect at the end of the current billing period. You can close your account entirely via the account settings or by emailing support@reviewmix.eu. Closing your account starts a 30-day recovery window during which you can reactivate it from the account settings. After the window ends, your account and its data are permanently deleted, even if a paid subscription period extends beyond that date; the unused remainder is not refunded.

13.2 By us

We may suspend or terminate your account if you materially breach these Terms, the Acceptable Use Policy, or applicable law. For non-critical breaches we will give you notice and a reasonable opportunity to cure (typically 14 days).

We may suspend immediately without prior notice if your use of the service:

• Poses an imminent risk to the security, stability, or integrity of the service
• Involves illegal content or activity
• Involves fraud or abuse of our billing system

13.3 Effect of termination

On termination:

• Your access to the service ends
• Your data is soft-deleted and retained for 30 days in case you wish to reactivate
• After 30 days your data is permanently deleted, subject to our legal retention obligations (invoices, consent ledger, audit logs)
• No refund is owed for paid subscriptions terminated for breach

13.4 Export before termination

Before terminating, you can export your data from the dashboard. We recommend doing this in advance. After termination, data export requires a formal data subject access request and may take up to 30 days.

14. Warranty disclaimer

Except as expressly stated in these Terms and subject to mandatory consumer rights, the service is provided "as is" and "as available". We do not warrant that the service will be uninterrupted, error-free, or that any specific business result will be achieved.

Statutory warranties for consumers under EU and Romanian law — including the conformity warranties under Romanian OUG 140/2021 — are not excluded or limited. As between ReviewMix and business customers, the "as is" / "as available" disclaimer applies in full.

15. Limitation of liability

To the fullest extent permitted by law and subject to mandatory liability that cannot be excluded:

• Our total liability for any claim arising out of or related to these Terms is limited to the amount you paid to us for the service in the 12 months preceding the event giving rise to the claim
• We are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, lost data, or lost goodwill
• Nothing in these Terms limits or excludes our liability for fraud, gross negligence, willful misconduct, death or personal injury caused by our negligence, liability under GDPR Art. 82 for data-protection damage, or any other liability that cannot be limited under applicable law

16. Indemnification

You agree to indemnify and hold ReviewMix harmless from any third-party claim arising from (a) Your Content, (b) your use of the service in violation of these Terms or applicable law, or (c) your violation of any third party's rights.

We will indemnify you against any third-party claim alleging that the service itself, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights, up to the limit in Section 15.

17. Changes to these Terms

We may update these Terms. Material changes will be notified to active customers by email at least 30 days before taking effect. Continued use after changes take effect constitutes acceptance. If you do not accept the changes you may cancel before they take effect.

Non-material changes (typo fixes, clarifications, updates to reflect law) may be made without notice.

18. Miscellaneous

• Entire agreement. These Terms, the Privacy Policy, the DPA (where applicable), the Acceptable Use Policy, and any order form you sign constitute the entire agreement.
• Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Severability. If any provision is unenforceable, the rest remains in effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Independent contractors. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
• Notices. We communicate via the email on your account. You may reach us at legal@reviewmix.eu.

19. Governing law and jurisdiction

These Terms are governed by the laws of Romania, without regard to conflict-of-laws rules. The courts of Iași, Romania have exclusive jurisdiction, except that consumers retain the right to bring proceedings in, and benefit from the mandatory protections of, their country of residence as provided by applicable consumer law (the consumer carve-out under the Brussels I Recast Regulation (EU) No 1215/2012 is preserved).
